RBI / FEMA / Foreign Laws Compliance
SGA also engages in compliance related to Reserve Bank of India ( RBI ) / Foreign Exchange Management Act ( FEMA ) and foreign laws. They majorly include the following:
- Preparation and filing of various returns with RBI including on allotment of shares in the form of FC-GPR , transfer of shares from resident to non-resident or vice versa in the form of FC-TRS and return concerning foreign assets and liabilities, etc.
- Registering and closure of branch, liaison, or project office of a foreign company in India with RBI as well as MCA
- Compounding of the offences under various provisions of FEMA
- Incorporation of the companies outside India in the form of JV ( Joint Venture ) / WOS ( Wholly-Owned Subsidiary ) / SPV ( Special Purpose Vehicle ) structuring and ensuring compliance with global laws and requirements
- Borrowing facilities under external commercial borrowings
- Obtaining FIPB ( Foreign Investment Promotion Board ) approvals and FCRA registration
- Conducting FEMA audit
- Retainership for FEMA-related compliances
- Registration of a NBFC ( Non-Banking Finance Company ) and preparation and filing of returns concerning NBFC
